Bryan has a wide-ranging business advisory practice with an emphasis on merger and acquisition and business formation and financing transactions.  These areas of practice require a broad understanding of contemporary business and tax laws and practice, constructive communication and negotiation skills, and a practical, problem-solving approach.

Specific legal issues Bryan handles vary based upon the client’s business needs, but a sampling of commonly encountered areas of practice include the following: 

  • Tax and corporate law issues related to optimization of transaction structure and terms.
  • Choice of entity and formation of corporations, partnerships and limited liability companies.
  • Shareholder and Buy-Sell agreements.
  • Securities laws compliance and filings in private sale transactions.
  • Employment, compensation, stock option and earn out agreements.
  • Real estate transfer, leasing, financing, construction and management agreements.
  • Angel, venture capital and private equity investments.
  • Joint Ventures.
  • Bank loans.
  • Technology transfer and licensing, including formation and capitalization of spin-offs from research institutions.

The first 23 years of Bryan’s practice were spent at a single firm that grew from 33 to over 400 lawyers.  He formed Baker Williams Matthiesen in 2005 in order to provide the same quality legal advice in a more cost effective and client-focused environment.  He has maintained his big firm clientele while expanding his client base to include start-up businesses and entrepreneurs who want to avoid big firm rates and staffing practices.

In addition to his legal practice, Bryan has a variety of outside interests.  These interests include bicycle racing, brewing, and gardening.  For many years he was involved in coaching and managing youth sport teams.  He has been married to his wife Claire since 1981 and has three children.
